This Organizer Agreement ("Agreement") is entered into between Passly Hai ("Passly Hai", "Platform", "we", "our", or "us") and the individual, business, organization, institution, promoter, or entity ("Organizer") using Passly Hai to create, promote, manage, or sell tickets for events. By creating an organizer account, publishing an event, or using any organizer services, you agree to be bound by this Agreement.
Passly Hai operates solely as a technology platform and marketplace that facilitates event ticketing and event management services.
Passly Hai is not:
The Organizer remains solely responsible for the planning, management, operation, and execution of all events listed on the Platform.
The Organizer represents and warrants that:
Passly Hai may request identity verification, business verification, GST information, PAN information, bank account verification, or other documentation at any time.
The Organizer shall be solely responsible for:
Passly Hai shall have no responsibility for any aspect of event operations.
The Organizer must ensure that all event information is accurate, including:
The Organizer must immediately update any incorrect information.
The Organizer may not use Passly Hai for:
Passly Hai may suspend or remove such events without notice.
Passly Hai may collect payments on behalf of the Organizer through authorized payment partners.
The Organizer authorizes Passly Hai to:
Passly Hai does not guarantee any minimum ticket sales.
The Organizer agrees that Passly Hai may charge:
These fees may be deducted before payout. All Passly Hai fees are non-refundable.
The Organizer acknowledges and agrees that:
Passly Hai acts only as a technology intermediary.
If an event is cancelled, postponed, rescheduled, abandoned, or materially changed, the Organizer shall:
Passly Hai may suspend payouts until refund obligations are satisfied.
If attendees initiate chargebacks, payment disputes, reversals, or fraud claims related to the Organizer's event:
The Organizer remains financially responsible for chargeback-related losses arising from their events.
The Organizer may receive attendee information including Name, Mobile Number, Email Address, and Ticket Information solely for event-related purposes.
The Organizer shall not:
The Organizer must permanently delete attendee personal information obtained through Passly Hai within three (3) months after completion of the event unless retention is legally required.
Passly Hai may request confirmation of compliance. Violation may result in:
The Organizer authorizes Passly Hai to publicly display Organizer Name, Username, Logo, Event Listings, Public Contact Information, and Social Media Links for platform and marketing purposes.
Where attendees request refunds or event support, Passly Hai may share attendee details with the Organizer, share Organizer support contact information with attendees, and facilitate communication between parties.
The Organizer grants Passly Hai a worldwide, royalty-free license to use event names, descriptions, logos, images, videos, and promotional materials for platform operations, marketing, and promotional purposes.
The Organizer agrees to defend, indemnify, and hold harmless Passly Hai, its owners, employees, contractors, partners, and affiliates from any claims, losses, damages, liabilities, penalties, costs, or expenses arising from: event cancellation or postponement, venue issues, personal injury, property damage, regulatory or copyright violations, attendee disputes, refund disputes, or organizer misconduct.
To the maximum extent permitted by law, Passly Hai shall not be liable for lost profits, lost revenue, event failure, event attendance levels, business interruption, indirect damages, or consequential damages.
Passly Hai's total liability shall not exceed the platform fees received from the relevant event.
Passly Hai may suspend, restrict, delay payouts, remove events, or terminate organizer accounts at any time where fraud is suspected, legal violations occur, data misuse occurs, chargeback risk exists, safety concerns arise, or platform policies are violated.
This Agreement shall be governed by the laws of India.
Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the courts located in Uttar Pradesh, India.
